Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Propicy, LLC (“Propicy,” “we,” “us,” or “our”) governing your access to and use of the Propicy website and our cloud software, APIs, mobile or desktop clients, documentation, and related services (collectively, the “Services”). By creating an account, clicking to accept, or using the Services, you agree to these Terms and our Privacy Policy.

U.S. SMS — Propicy Notifications (10DLC)

These provisions apply when Propicy sends plain-text SMS to U.S. recipients using registered application-to-person (A2P) messaging (for example 10-digit long codes / 10DLC). Messages are delivered through connectivity arrangements with wireless carriers and industry programs (including expectations under CTIA and similar carrier frameworks). Propicy does not name its underlying connectivity vendors in this document; regardless of technical route, the same rules in this section apply to every message we send under this program. Carriers are not liable for delayed or undelivered messages.

Alignment with registered campaigns: We operate this program consistently with the use cases, consent, content limits, frequency disclosures, keyword handling, and support information we submit to carriers and industry programs for U.S. A2P messaging—including registrations filed under the campaign name below and any parallel registration for the same brand and purpose, so that disclosures stay aligned across routes.

Registered campaign name: Propicy Notifications.

Brand: Propicy.

Campaign description (messaging use): We send common, plain-text SMS to users who explicitly opt in via our website forms or platform when requesting information or creating an account. Messages include responses to inquiries, account-related notifications, and service updates. Message frequency varies based on user interaction. Users can opt out at any time by replying STOP and request help by replying HELP.

Message format (this campaign): Program messages are plain text only: normal sentences and standard punctuation. We do not include website URLs, hyperlinks, link shorteners, phone numbers typed inside the message body, obfuscated or “look-alike” character tricks, unusual Unicode or encoding patterns, or other non-standard layouts. We do not use this program for age-gated (M18+) content, for direct lending or other loan-related promotions, or for multimedia (MMS) as part of routine traffic.

End user consent: End users provide explicit consent by entering their phone number on our website forms and agreeing to receive SMS communications via an unchecked opt-in checkbox. The opt-in language clearly states that users will receive messages related to their inquiry or account activity. Consent is only collected when users submit a form to request information or interact with our services in a way that collects a mobile number for SMS. No messages are sent without prior consent. Users can opt out at any time by replying STOP and request help by replying HELP.

Representative opt-in language (Call-To-Action): “By providing your phone number and submitting this form, you agree to receive SMS messages from Propicy related to your inquiry or account activity. Message frequency varies. Message & data rates may apply. Reply STOP to opt out or HELP for assistance.” Forms that enroll a number in this program also display links to these Terms (https://propicy.com/terms.html) and our Privacy Policy (https://propicy.com/privacy.html).

Steps without a mobile number: Where you only complete steps that do not collect a phone number for SMS (for example, creating a login without enrolling a number for texting on that same screen), this campaign does not send SMS from that step. SMS under this program is sent only after consent is collected as described above on a form that collects your mobile number.

Opt-in keywords (where supported by our configuration): START, YES, SUBSCRIBE.

Opt-out keywords (where supported): OPTOUT, CANCEL, END, QUIT, UNSUBSCRIBE, REVOKE, STOP, STOPALL. A representative automated confirmation may state that you have been unsubscribed, that you will not receive further messages from that number, and how you may resubscribe (for example, replying START) where that flow is enabled.

Help keywords (where supported): HELP, INFO. A representative automated response may include unsubscribe instructions and state that message and data rates may apply.

Keyword handling: Standard keyword handling (including default replies for opt-out and help) may be supplied by our connectivity stack. We may configure opt-out lists, keyword routing, and auto-replies—including custom responses—through the administrative tools available for our registered routes. Follow the instructions in the most recent message from our program.

Sample messages (illustrative; actual content may vary): (1) “Hi [name], thanks for contacting us. This is a follow-up regarding your request for information about our services. Let us know if you’d like more details. Reply STOP to opt out.” (2) “Hi [name], we received your inquiry on our website. We can help you with our platform services. Reply HELP for assistance or STOP to unsubscribe.”

Message and data rates may apply. Message frequency varies based on your interaction with Propicy and the form or product surface where you opted in.

Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate, current, and complete registration information and to update it promptly when it changes.

You must notify us promptly of any unauthorized access or security breach related to your account.

License and acceptable use

Subject to these Terms and your payment of applicable fees, Propicy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with our documentation and any order form or plan you select.

You agree not to: (a) copy, modify, create derivative works of, reverse engineer, decompile, or attempt to extract source code from the Services except to the extent expressly permitted by law; (b) probe, scan, or test the vulnerability of any system or network without authorization; (c) interfere with or disrupt the integrity or performance of the Services; (d) use the Services to build a competing product or service; (e) use the Services in violation of law or third-party rights; or (f) send unsolicited or unlawful communications, including in violation of the Telephone Consumer Protection Act, CAN-SPAM, or similar laws. You are solely responsible for obtaining legally required consents and maintaining records for communications you send using the Services.

Customer data and privacy

You retain ownership of data you submit to the Services (“Customer Data”). You grant Propicy a worldwide license to host, process, transmit, and display Customer Data only as necessary to provide, secure, and improve the Services and as described in our Privacy Policy. You represent that you have all rights necessary to provide Customer Data and that its processing in accordance with these Terms will not violate law or third-party rights.

Propicy will implement reasonable technical and organizational measures to protect Customer Data as described in our Privacy Policy and any applicable data processing terms we provide to enterprise customers.

Fees, trials, and taxes

If you purchase a paid plan, you agree to pay all fees specified at checkout or in an order form. Fees are billed in advance unless otherwise stated. Unless we notify you otherwise, subscriptions renew automatically for successive terms equal to the initial term until you cancel through the account settings or as we instruct. Taxes are your responsibility except where we are required to collect them.

If we offer a free trial, we may convert it to a paid subscription at the end of the trial unless you cancel before conversion, as disclosed at signup.

Intellectual property

Propicy and its licensors own all rights, title, and interest in and to the Services, including software, branding, logos, documentation, and aggregate analytics derived from use of the Services (excluding Customer Data). Except for the limited license above, no rights are granted to you.

Feedback you provide may be used by Propicy without restriction or compensation to you.

Third-party services

The Services may integrate with third-party products (for example, email, calendar, messaging, or payment providers). Your use of those products is governed solely by your agreement with the third party. Propicy is not responsible for third-party services or content.

Gmail (Google). If you connect a Gmail account, you authorize Propicy to access and process Google user data from that account as needed to provide the email features described in the Services and in our Privacy Policy (including the section “Google user data and Gmail (workspace integration)”). You may disconnect Gmail from Integrations at any time; doing so stops new processing through that connection subject to the Privacy Policy.

Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT SIGNED BY PROPICY, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PROPICY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PROPICY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF PROPICY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPICY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PROPICY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, PROPICY’S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Indemnification

You will defend, indemnify, and hold harmless Propicy and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Customer Data, your use of the Services, your violation of these Terms, or your violation of law or third-party rights.

Suspension and termination

We may suspend or terminate your access to the Services if you materially breach these Terms, fail to pay fees when due, pose a security risk, or if we are required to do so by law. You may stop using the Services at any time. Upon termination, your right to access the Services ceases; provisions that by their nature should survive (including ownership, confidentiality, disclaimers, limitation of liability, indemnity, and governing law) will survive.

We may delete Customer Data after termination in accordance with our retention policies and applicable law. You are responsible for exporting your data before termination where the product allows.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Subject to applicable law, you and Propicy agree that exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Services will lie in the state and federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction there.

If you are a consumer, mandatory consumer protection laws in your country of residence may apply notwithstanding the foregoing, where such laws cannot be waived by contract.

Changes; entire agreement; severability

We may modify these Terms from time to time. We will post the updated Terms on our website. If a change is material, we will provide additional notice as required by law. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. These Terms, together with the Privacy Policy and any order form or enterprise agreement you sign, constitute the entire agreement regarding the subject matter hereof.

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
